TERMS OF SERVICE (IPF)
Acceptance & Scope
Marsupium Technologies Private Limited (DBA "IPF") ("IPF", "we", "our", "us") operates a peer-to-peer marketplace enabling parents to buy and sell pre-owned parenting and childcare products.
By accessing or using the IPF website or mobile application, you agree to be bound by these Terms of Service and all policies referenced herein (collectively, the "Terms"). If you do not agree, do not use IPF.
In the event of any conflict between these Terms and any other IPF policy, these Terms shall prevail unless expressly stated otherwise.
IPF may modify these Terms from time to time. Material changes will be communicated through the platform. Continued use of IPF after such changes constitutes acceptance.
Intermediary Status
IPF is an intermediary as defined under the Information Technology Act, 2000 and applicable rules. IPF claims safe harbour protection subject to user compliance with applicable laws and these Terms.
What IPF Does (and Does Not Do)
IPF provides a technology platform that enables discovery, communication, payments through IPF Pay using an IPF-controlled payment holding mechanism (with third-party payment gateways for processing) and coordination of shipping through third-party logistics partners.
IPF does not –
- Buy or sell products
- Own, inspect, certify or guarantee any product
- Act as a logistics provider or courier
All transactions occur directly between buyers and sellers.
Eligibility & Accounts
You must be at least 18 years old and legally capable of entering into a binding contract under Indian law.
You are responsible for all activity conducted through your account. Creating multiple accounts to bypass platform restrictions is prohibited.
Seller Representations
By listing or selling on IPF, you represent and warrant that -
- You physically possess the product at the time of listing
- You lawfully own or are authorised to sell the product
- Listing details are accurate and not misleading
- The product is lawful, safe and not counterfeit, recalled or prohibited
- Your listing content does not infringe any intellectual property rights
Seller Risk Allocation, Waiver and Limitation of Liability
1. Commercial Nature of Seller Transactions
By registering as a seller on the platform operated by India Parenting Forum ("IPF"), the Seller represents and warrants that it is engaging in commercial activity in the course of business.
The Seller acknowledges that IPF functions as an intermediary technology platform facilitating transactions between independent users and does not take title to products listed by Sellers.
2. Allocation of Transit and Packaging Risk
The Seller expressly agrees that all ordinary risks associated with shipping, reverse logistics, inspection handling, repackaging, and relabelling are inherent in marketplace transactions.
The Seller further agrees that:
- Minor wear and tear arising during transit or inspection shall not constitute platform fault;
- Original packaging may not be preserved in identical condition upon return;
- Packaging, labelling, and preparation costs are borne solely by the Seller unless otherwise agreed in writing.
Such risk allocation forms a fundamental condition of the Seller's use of the platform.
3. Express Waiver
To the fullest extent permitted under the Indian Contract Act, 1872 and other applicable laws, the Seller expressly and knowingly waives any claim, demand, action, or proceeding against IPF arising solely from:
- Minor transit-related cosmetic wear;
- Packaging deterioration or replacement;
- Relabelling or inspection handling;
- Ordinary reverse logistics processes.
The Seller acknowledges that this waiver is reasonable, commercially necessary, and a material inducement for IPF permitting access to the platform.
4. No Warranty as to Packaging Preservation
IPF makes no representation or warranty that returned products will retain original packaging condition, seals, tags, or labelling integrity following inspection or reverse logistics handling.
5. Indemnity
The Seller agrees to indemnify, defend, and hold harmless IPF, its affiliates, directors, officers, employees, and agents against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of:
- Any claim asserted contrary to the risk allocation agreed herein;
- Any dispute relating to packaging adequacy or product preparation;
- Any misrepresentation regarding product condition.
6. Survival
This clause shall survive termination, suspension, or deactivation of the Seller's account.
Buyer Obligations
Buyers must –
- Pay only through IPF Pay
- Provide accurate delivery information
- Inspect products within 48 hours of delivery
- Raise only genuine issues supported by evidence
Payments & Fund Holding (IPF Pay)
Payments are processed only via IPF Pay. Off-platform payments are not supported or protected.
Payments made through IPF Pay are received and temporarily held by IPF in an IPF-controlled payment holding mechanism until the 48-hour inspection window from the delivery confirmation timestamp recorded on the platform closes or until any dispute raised by the buyer is resolved. Upon inspection window closure or dispute resolution, funds are released to the seller or refunded to the buyer, as applicable.
Funds are typically settled within 2 business days after inspection window closure or dispute resolution, excluding weekends, bank holidays and public holidays, subject to internal checks and bank processing timelines.
Shipping is facilitated through third-party logistics partners. IPF is not liable for courier delays, losses, or damages, except as resolved under platform dispute mechanisms.
Misuse & Enforcement
IPF may flag, restrict, suspend or permanently ban accounts for misuse, fraud or repeated violations, including patterns of behaviour indicating abuse. Decisions are taken reasonably and in good faith to protect platform integrity.
Limitation of Liability
To the maximum extent permissible under applicable law:
- IPF shall not be liable for indirect, incidental, consequential, or special damages arising from return-related matters.
- IPF's aggregate liability per order shall not exceed the total value of that order paid to IPF by the user.
- Nothing in this clause shall exclude liability for fraud, wilful misconduct, or gross negligence attributable to IPF.
Indemnity
Users agree to indemnify and hold harmless IPF from claims arising out of misuse, misrepresentation, breach of these Terms, or violation of applicable law.
Force Majeure
IPF shall not be liable for failure or delay caused by events beyond reasonable control, including acts of God, strikes, logistics disruptions, or regulatory actions.
Governing Law & Jurisdiction
These Terms are governed by Indian law. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
