Guidelines for Sellers

SELLER GUIDELINES

Nature of this document: These Seller Guidelines are operational rules and best‑practice instructions to help sellers transact smoothly on IPF. Certain provisions (especially under What Is Not Allowed and Consequences) are binding and enforceable under the Terms of Service.

A. Before You List (Guidance)

Physical Possession (Binding)

You must physically have the product with you when you list it. Do not list products awaiting RTO return, with a third party, or otherwise unavailable.

Accurate Listing (Guidance)

Use clear photos of the actual product. Disclose condition honestly, including scratches, stains, rust, missing parts, functional issues and/or material defects. Use correct category, size and weight to the best of your knowledge.

Prohibited / Unsafe Products (Binding)

Do not list counterfeit, recalled, unsafe, expired or prohibited products. Sellers are solely responsible for legality and safety.

B. When You Receive an Order

Reconfirm Availability (Binding)

By accepting an order, you reconfirm that the product is physically available and ready to dispatch. If you cannot ship, cancel promptly using platform flows.

RTO Relisting Rule (Binding – Seller Responsibility)

If a product was returned (RTO), it may be re-listed only after you physically receive it back.

Limitation Related to RTO Relisting

If a seller lists or re-lists a product before physically receiving it back after an RTO, IPF shall not be responsible for any loss, damage, delay or unavailability of such product. IPF's liability, if any, shall be limited to the product value actually paid by the buyer for the original order through IPF Pay. IPF shall not be liable for any notional, consequential or expected losses, including loss of anticipated sale, profit or business opportunity.

C. Packaging Guidelines (Guidance, with Binding Consequences)

Sellers are responsible for transport‑worthy packaging.

Preparation (Guidance)

- Clean and dismantle items where applicable - Pack small parts separately

Materials (Guidance)

- Original packaging (preferred) - Strong cardboard boxes - Adequate bubble wrap or cushioning

Requirements (Binding)

  • Non‑transparent, securely sealed package
  • Correct shipping label affixed
  • Each order packed separately unless approved by IPF

D. Packaging Video (Binding for Dispute Protection)

Upload an order‑specific packaging video clearly referencing the order ID. Fake, reused or misleading videos constitute misuse.

E. Returns, Transit Risk Allocation, Waiver and Indemnity (Binding)

1. Returns and Inspection Process

All returns shall be governed by the platform's Return and Inspection Policy, as amended from time to time. The Seller acknowledges that returned products may be opened, inspected, tested, handled, repackaged, relabelled, consolidated, or otherwise processed during reverse logistics and quality verification.

The Seller agrees that such activities constitute reasonable and standard industry practice.

2. Allocation of Transit and Handling Risk

The Seller acknowledges that shipment through third-party logistics providers involves inherent and ordinary risks, including minor cosmetic wear, packaging deterioration, or relabelling during inspection.

Accordingly, the Seller agrees that minor wear and tear, including but not limited to:

  • Surface creasing, minor scuffing, or superficial marks;
  • Opening, resealing, or replacement of outer cartons;
  • Removal, replacement, or addition of labels, barcodes, or compliance stickers;
  • Deterioration of packaging materials,

shall not constitute actionable damage attributable to the platform, provided such condition does not materially alter the functional condition of the product.

3. Packaging and Labelling Costs

Unless expressly agreed in writing, all packaging, wrapping, labelling, branding materials, inserts, tags, and preparation costs shall be borne solely by the Seller.

The Seller expressly acknowledges and agrees that:

  • Original packaging may not be returned in the same condition as dispatched;
  • Packaging materials may be opened, resealed, replaced, or discarded during inspection or reverse logistics;
  • The platform does not guarantee preservation of original packaging condition.

To the fullest extent permitted under applicable law, the Seller waives any claim for reimbursement or compensation in respect of packaging, labelling, or preparation costs.

4. Express Assumption of Commercial Risk

The Seller confirms that it is acting in the course of business and voluntarily elects to transact through Marsupium Technologies Private Limited ("IPF").

The Seller further agrees that ordinary transit-related risk is a commercial risk inherent in marketplace transactions and is expressly allocated to the Seller under this Agreement.

Nothing in this clause shall exclude liability arising from proven fraud, wilful misconduct, or gross negligence attributable to IPF.

5. Waiver of Claims

Subject to applicable law, the Seller expressly and knowingly waives any claim, demand, or cause of action against IPF arising solely from:

  • Minor transit-related wear and tear;
  • Packaging condition upon return;
  • Relabelling or inspection handling;
  • Ordinary reverse logistics processes.

This waiver is a material inducement for IPF to permit the Seller to list and transact on the platform.

6. Indemnity

The Seller agrees to indemnify and hold harmless IPF, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, or expenses (including reasonable legal costs) arising out of:

  • Any dispute raised in contravention of this clause;
  • Any third-party claim relating to packaging adequacy or product preparation by the Seller;
  • Any misrepresentation regarding product condition or packaging compliance.

7. Limitation of Liability

To the extent permissible under Indian law, IPF's aggregate liability in connection with any return-related dispute shall not exceed the service fees earned by IPF in respect of the specific transaction giving rise to the claim.

F. What Is Not Allowed (Binding)

  • Empty or partial shipments
  • Fake packaging videos
  • Intentional dispatch delays
  • Using IPF logistics for non‑platform shipments
  • Self‑ordering or impersonation
  • Abusive or harassing communication

G. Consequences (Binding)

Violations may result in payment holds, order cancellation, suspension or permanent ban depending on severity and repeat behaviour.
